Toptoptime – Learning Marketplace

1. Definitions

"Platform" means the website and mobile application operated by Toptoptime, enabling professionals who provide learning or mentoring services (the "Mentor(s)") to be matched with end‑users who wish to book such services (the "Learner(s)").

2. Purpose

The Platform is an online intermediary that (i) hosts searchable Mentor profiles, (ii) provides automated recommendations to facilitate matches, and (iii) supplies booking and payment infrastructure. Toptoptime is not a party to any learning‑booking agreement concluded between a Mentor and a Learner.

3. Account Registration & Eligibility

By creating an account you confirm that you have the legal capacity to enter into this Agreement under the laws that apply to you. You may hold only one account and must keep your credentials secure.

4. Subscription & Fees (Mentor side)

  • •Subscription model: Each Mentor pays Toptoptime a recurring subscription fee, the price and billing period of which are displayed during checkout and on the billing page.
  • •No commission on booking price: Toptoptime does not charge any commission on the prices set by Mentors for their bookings.
  • •Payment‑processing pass‑through:When a Learner pays through the Platform's payment service provider (the "PSP"), the PSP's transaction fee (e.g. Stripe processing fee) is automatically deducted and retained by the PSP, not by Toptoptime.
  • •Taxes & social charges: Mentors are solely responsible for declaring and paying any taxes, social‑security contributions or other charges arising from their activity.

5. Booking, Payment & Payout Flow

Learners may pay the Booking price using either of the following methods:

  1. 1. Up‑front payment on the Platform – At the time of booking, the Learner pays via the PSP checkout integrated in the Platform. The PSP collects the amount on behalf of the Mentor and remits the net proceeds according to its payout schedule.
  2. 2. In‑booking payment– If enabled by the Mentor, the Learner may pay during the live Booking, using (i) a PSP payment link generated by the Platform and shared by the Mentor, or (ii) any PSP‑approved point‑of‑sale interface connected to the Mentor's PSP account. The payment must be completed before the end of the Booking for the booking to be considered honoured.

In both cases, Toptoptime never holds Learner funds and is not liable for PSP failures or chargebacks. All payment pages are secured by HTTPS; Toptoptime is PCI‑DSS compliant and stores only the last four digits of any card.

6. Cancellations & Refunds

Each Mentor may configure a cancellation policy for each of their bookings. The available options are:

  • •Refundable: The Learner may cancel and receive a full refund of the booking price if the cancellation is made at least a specified number of hours before the booking start time (e.g., 24 hours, 48 hours). The Mentor chooses this deadline when creating the booking.
  • •Non‑refundable: The Learner may cancel but will not receive a refund regardless of when the cancellation is made.

Default policy: If no policy is specified by the Mentor, bookings are considered refundable with 24 hours notice.

Important rules:

  • •After the refund deadline: Learners may still cancel their booking, but no refund will be issued.
  • •After booking start time: Neither party can cancel the booking.
  • •Mentor cancellation: If a Mentor cancels a paid booking, the Learner always receives a full refund, regardless of the cancellation policy or timing.
  • •Processing fees: Payment processing fees charged by the PSP are non‑refundable in all cases.

The applicable cancellation policy is displayed during the booking process and on the booking details page. Learners are encouraged to review the policy before confirming a booking.

7. Code of Conduct

All users agree to:

  • •act professionally and courteously;
  • •refrain from discriminatory, harassing or defamatory behaviour;
  • •not request or provide services intended to facilitate academic cheating (e.g. completing exams or assignments for a Learner);
  • •not use the Platform to solicit Mentors or Learners for competing servicesor to extract data ("talent‑poaching"/scraping);
  • •comply with all applicable laws, including export‑control and consumer‑protection rules.

Toptoptime may suspend or terminate accounts for breaches of this Code or of this Agreement.

8. User Content & Intellectual Property

You grant Toptoptime a worldwide, royalty‑free licence to host, display and, where necessary, adapt the content you upload (profiles, reviews, materials) solely for operating the Platform. You warrant that you own or are authorised to use such content.

9. Automated Matching Transparency

Matching recommendations may be generated by automated systems that consider parameters such as subject area, language, availability and prior reviews. You may request human review of any decision that significantly affects you.

10. Limitation of Liability

Toptoptime acts solely as a technical intermediary facilitating the introduction, scheduling and payment of Bookings. It does not control the pedagogical content or the conduct of Mentors and Learners during a Booking and, in principle, shall have no responsibility for any act, omission, advice, content or outcome that occurs during a Booking.

Subject to the foregoing and to the maximum extent permitted by law:

  • •Toptoptime's liability may only be incurred in the event of its own proven fault and is then limited to direct damages in an amount not exceeding: (i) for a Mentor, the total subscription fees paid to Toptoptime during the twelve (12) months preceding the event giving rise to liability; or (ii) for a Learner, the price of the disputed Booking.
  • •Nothing in this Agreement excludes or limits liability for death or personal injury resulting from Toptoptime's own negligence, nor for fraud or gross negligence.

11. Complaints & Dispute Resolution

We operate an internal complaint‑handling system via support@toptoptime.com and respond within 14 days. Consumers may also refer the dispute to CMAP Paris (www.cmap.fr) or bring a claim before the competent courts.

12. Termination

You may terminate your account at any time from the settings page. Toptoptime may terminate or suspend your account for material breach with immediate effect, or for convenience with 30 days' notice.

13. Modifications

We may amend these Terms by giving at least 15 days' prior notice. Continued use of the Platform after the effective date constitutes acceptance. If you do not agree, you may terminate your account before the change takes effect.

14. Governing Law & Jurisdiction

This Agreement is governed by French law. Consumer Learners may bring claims before the courts of their domicile; in all other cases, exclusive jurisdiction lies with the courts of Paris.
